Terms of Service
The terms under which OpenLeadGraph is provided: monthly rental of a configured, hosted lead generation and recruitment platform — service scope, billing, responsibilities and liability.
1. The service
OpenLeadGraph is a private lead generation and recruitment platform for staffing agencies. It is provided exclusively as a managed service: we configure a dedicated workspace for your company, host it on DK Engineering Lab server infrastructure (https://www.dkenglab.com) and rent it to you on a monthly basis.
The platform is not sold, and no source code, binaries or infrastructure access are transferred. What you receive is a fully configured, hosted and maintained working environment — software as a service, not software as a product.
2. Provider and acceptance
The service is operated and hosted by DK Engineering Lab. These terms, together with the order agreed during onboarding (scope, modules, price) and our Data Processing Agreement, form the entire agreement between you (the client agency) and us.
By signing an order, paying the first invoice or using the platform, you accept these terms. If you act on behalf of a company, you confirm you are authorized to bind that company.
3. Accounts and access
- There is no self-serve signup. Every workspace is created by us after a demo and configuration process.
- Access is granted per named user with a defined role (owner, administrator, recruiter, sales or read-only). Sharing accounts between people is not permitted.
- You are responsible for the accuracy of user information, for keeping credentials confidential and for everything that happens under your accounts.
- You must notify us immediately at hello@openleadgraph.com if you suspect unauthorized access.
4. Subscription and billing
- The service is rented monthly. Pricing depends on your niche, team size and enabled modules, and is quoted individually during the demo process.
- Billing starts after go-live — when your workspace is configured and handed over. There is no charge for the configuration period itself unless separately agreed.
- Invoices are issued in the agreed currency and are payable within the term stated on the invoice. Applicable taxes (including VAT) are added where required by law.
- Late payment may result in interest at the statutory rate and, after a reminder, suspension of access until the balance is settled.
- You can cancel at any time with effect from the end of the current paid month. Already-paid periods are not refunded.
5. Configuration and onboarding
A typical launch takes three to five weeks from the first call: we connect your lead sources, configure card fields, pipeline stages, document templates, branding, currencies and access roles, then hand over a working system. The exact scope and timeline are fixed in your order.
6. Acceptable use
You agree to use the platform lawfully and not to:
- Store or process personal data without a lawful basis, or in violation of GDPR or other applicable law.
- Use leads, vacancies or contacts from the platform for spam, unlawful outreach or purposes unrelated to your staffing business.
- Attempt to access another client's data, probe security measures or disrupt the service.
- Reverse engineer, copy, resell, sublicense or rent out the platform or any part of it.
- Upload malware, or content that is unlawful, defamatory or infringes third-party rights.
You are responsible for your own compliance when contacting leads and candidates — including anti-spam, labor and recruitment regulations in your jurisdiction.
7. Client data and responsibilities
You retain all rights to the data you place in your workspace. For candidate, contact and vacancy data you are the data controller; we act as a data processor under our Data Processing Agreement, processing such data only on your documented instructions.
You warrant that you have the right to store and process the data you upload, that data subjects have been informed where required, and that your instructions to us are lawful.
8. Intellectual property
- The platform — code, design, algorithms, documentation and the OpenLeadGraph brand — remains our exclusive property or that of DK Engineering Lab.
- Your data remains yours. You grant us only the limited right to host and process it to provide the service.
- If you suggest improvements, we may implement them; you grant us a perpetual, royalty-free right to use such feedback without obligation.
- Reports, documents and exports generated for you from your own data (route sheets, PDF documents, invoice reports) are yours to use freely.
9. Availability and support
- We target 99.9% monthly availability for the production platform, measured excluding announced maintenance windows.
- Planned maintenance is announced in advance and scheduled outside typical business hours where possible.
- Support is provided by email at hello@openleadgraph.com. We aim to respond within one business day; critical outages are handled with priority.
- The service includes hosting, updates, backups and monitoring — all operated on DK Engineering Lab infrastructure.
10. Data export and deletion on termination
When the subscription ends, your workspace remains accessible for export for 30 days. On request we provide your data in a machine-readable format (CSV/JSON plus documents). After that window the workspace and its data are permanently deleted, and backups expire within their normal rotation cycle.
11. Warranties and disclaimers
We warrant that the service will perform substantially as described and that it is provided with professional care. Beyond this, the service is provided “as is”: we do not warrant that lead sources will always be available (third-party platforms may change), that AI scores or suggestions will be error-free, or that the service will meet every individual expectation. AI-generated outputs (scores, tailored CVs, assistant answers) are assistive tools; decisions based on them remain yours.
12. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for all claims related to the service is limited to the fees you actually paid in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental or consequential damages, lost profit, lost revenue or loss of data caused by your failure to export it.
Nothing in these terms excludes liability that cannot be excluded by law, including liability for willful misconduct or gross negligence.
13. Indemnification
You indemnify us against claims, fines and expenses arising from your unlawful use of the platform, from data you upload without sufficient rights or lawful basis, and from your outreach activities toward leads and candidates.
14. Term and termination
- The subscription runs month to month and renews automatically until cancelled.
- Either party may terminate with effect from the end of the current paid month.
- We may suspend or terminate immediately for material breach — unlawful use, non-payment after reminder, or security abuse — with notice where practicable.
- Sections on data, intellectual property, liability and indemnification survive termination.
15. Governing law and disputes
These terms are governed by the laws of the Republic of Poland, without regard to conflict-of-law rules. The parties will first try to resolve disputes amicably; failing that, disputes are submitted to the competent courts of the Republic of Poland. GDPR and applicable EU data-protection law apply to all personal-data matters regardless of this choice.
16. Changes to these terms
We may update these terms; the current version is always on this page. Material changes are emailed to client administrators at least 14 days before they take effect. Continuing to use the service after the effective date constitutes acceptance.
